J.R.SOSA & CO. Terms of Use

1. Acceptance of Terms

Please read these Terms carefully before accessing or using the Site. By accessing the Site, viewing content, submitting a form, downloading materials, or otherwise interacting with the Site, you agree to be bound by these Terms and our Privacy and Security Statement. If you do not agree, do not access the Site or use its content.

J.R.SOSA & CO.’s acceptance of your use is expressly conditioned on your assent to these Terms, to the exclusion of all other terms. If these Terms are considered an offer by J.R.SOSA & CO., acceptance is expressly limited to these Terms.

2. Covered Properties and Entities

References to “J.R.SOSA & CO.,” “we,” “our,” or “us” include the relevant J.R.SOSA & CO. entity, affiliates, subsidiaries, parent companies, successors, assigns, controlled ventures, operated domains, applications, services, events, internal brands, trade names, product lines, and other brands that we own or control and that link to or reasonably rely on these Terms, whether those brands are named publicly or not.

References to the “Site” include https://jrsosa.co, https://www.jrsosa.co, and any other website, landing page, quote form, product page, demo, portal, documentation page, downloadable asset, or online service operated by us that links to these Terms.

3. Relationship to Client Agreements

These Terms govern public-site access and general online use. They do not replace a signed master services agreement, statement of work, proposal, license, data processing addendum, nondisclosure agreement, order form, or other written agreement executed by J.R.SOSA & CO. for a customer, vendor, partner, or contractor engagement. If a signed written agreement conflicts with these Terms for that engagement, the signed agreement controls for that engagement only.

Quotes, estimates, project descriptions, timelines, service descriptions, case studies, portfolio items, demos, and examples on the Site are informational and nonbinding unless expressly incorporated into a signed written agreement.

4. Changes to These Terms

We may modify or replace these Terms at any time in our sole discretion. If we determine that a change is material, we may post an announcement on the Site or provide another notice we consider appropriate. Your continued use of the Site after updated Terms are posted means you accept the updated Terms. You are responsible for reviewing the Terms periodically.

5. Permitted Use and Eligibility

You may use the Site only for lawful, informational, evaluation, purchasing, or legitimate business purposes. You must comply with all applicable laws and regulations, including export control, sanctions, privacy, intellectual property, and cybersecurity laws. You represent that you have authority to bind any company or organization on whose behalf you use the Site or submit information.

6. Content Ownership and Limited License

J.R.SOSA & CO. and its licensors retain all worldwide rights, title, and interest in the Site and all content, materials, software, text, images, graphics, logos, designs, page layouts, code, components, databases, interfaces, visual systems, workflows, demos, documentation, videos, audio, copy, trade dress, and the “look and feel” of the Site.

Subject to these Terms, we grant you a limited, revocable, nonexclusive, nontransferable license to access and view the Site for your personal, informational, or legitimate internal business evaluation. No other rights are granted. Unless expressly permitted by us in writing or by applicable law, you may not copy, reproduce, modify, distribute, transmit, scrape, train models on, republish, display, perform, sell, sublicense, create derivative works from, or commercially exploit the Site or any content.

7. Software, Demos, Downloads, and Documentation

If we make software, code, APIs, scripts, SDKs, templates, demos, documentation, models, configuration files, or related materials available through the Site (“Software”), that Software is licensed, not sold. Use of Software is subject to any license, agreement, notice, or terms included with it. If no separate license is provided, you may use it only for your personal, noncommercial use or legitimate internal business evaluation related to your role as a current or prospective customer, contractor, vendor, or partner of J.R.SOSA & CO.

As between you and J.R.SOSA & CO., we retain all rights in the Software. You may not reverse engineer, decompile, disassemble, attempt to discover source code, bypass technical limits, remove notices, benchmark publicly, use the Software to build a competing service, or derive underlying ideas, structure, models, prompts, workflows, or algorithms, except to the limited extent applicable law expressly prohibits that restriction or we provide the Software in source-code form under a license that allows the activity.

8. Submissions, Feedback, and Confidentiality

If you submit information, files, ideas, prompts, outputs, requirements, business materials, feedback, or other content through the Site or by electronic communication (“Submissions”), you represent that you have all rights and permissions needed to provide them. You grant J.R.SOSA & CO. a worldwide, royalty-free, sublicensable, transferable license to host, use, reproduce, process, transmit, display, modify, and create derivative works from Submissions as needed to operate the Site, respond to you, evaluate or provide services, improve our business, protect our rights, and comply with law.

Do not send confidential, privileged, regulated, sensitive, or third-party information unless we specifically request it under a written agreement with appropriate protections. Submissions are not confidential merely because you label them confidential. Feedback, suggestions, and ideas may be used by us without restriction, attribution, or compensation, unless a signed written agreement says otherwise.

9. Portfolio, AI, and Informational Content

Site content may include AI-assisted material, prototypes, screenshots, mockups, simulated data, concepts, performance statements, technical commentary, business commentary, or portfolio-style examples. This content is provided for general information and marketing context only. It is not professional, legal, financial, tax, medical, security, compliance, or regulatory advice and should not be relied on as such.

Unless we expressly state otherwise, third-party names, brands, market references, screenshots, or scenarios do not imply endorsement, partnership, customer status, or affiliation.

10. Prohibited Conduct and Security

You may not, and may not assist anyone else to:

• violate or attempt to violate the security, integrity, availability, or performance of the Site or any related system;
• scan, probe, test, attack, overload, spam, scrape, crawl, harvest, or monitor the Site except as expressly authorized by us or as ordinary public search indexing that respects our instructions;
• access nonpublic areas, bypass controls, exploit vulnerabilities, introduce malware, or interfere with other users;
• misrepresent your identity, impersonate another person, or submit false, misleading, infringing, unlawful, harmful, or unauthorized information;
• use the Site or content to develop, train, benchmark, or improve a competing product, model, dataset, or service without written permission;
• remove proprietary notices or use automated means to extract content, code, data, or structure from the Site.

We may investigate suspected violations, preserve and disclose information where appropriate, restrict access, and cooperate with law enforcement, regulators, hosting providers, security partners, and affected third parties.

11. Trademarks and Trade Names

Company names, brand names, product names, graphics, logos, page headers, button icons, scripts, trade dress, and service names used on the Site are trademarks, service marks, trade names, or protected identifiers of J.R.SOSA & CO., its controlled brands, licensors, or third parties. You may not use them, including in domain names, social handles, advertising, metatags, account names, or products or services, in any way likely to cause confusion or suggest endorsement without prior written consent.

12. Linking, Framing, and Third-Party Resources

We do not object to ordinary links to our homepage or public pages in an appropriate context. Framing, mirroring, inline linking, embedding, or otherwise presenting the Site or content as part of another property is prohibited without prior written consent. The Site may link to third-party sites, tools, platforms, services, or resources. We do not control and are not responsible for third-party availability, accuracy, legality, content, advertising, products, services, security, privacy, or business practices.

13. Electronic Communications

You consent to receive electronic communications from us related to the Site, quotes, inquiries, services, security, legal notices, and business administration. We use reasonable safeguards, but no method of Internet transmission or storage is perfectly secure. You send electronic communications at your own risk and should choose carefully what information you send.

14. Warranty Disclaimers

Diligent care may be taken in preparing Site content, but we do not guarantee reliability, accuracy, timeliness, completeness, availability, performance, security, uninterrupted access, error correction, or fitness for your purpose.

THE SITE, CONTENT, SOFTWARE, DEMOS, DOWNLOADS, AND THIRD-PARTY MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, J.R.SOSA & CO. DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, J.R.SOSA & CO. AND ITS AFFILIATES, OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, CUSTOMERS, VENDORS, SUCCESSORS, AND ASSIGNS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, ENHANCED, OR LOST-PROFIT DAMAGES; LOSS OR CORRUPTION OF DATA; BUSINESS INTERRUPTION; SECURITY INCIDENTS; COMPUTER DAMAGE; PERSONAL INJURY ARISING FROM USE OF THE SITE; OR COST OF SUBSTITUTE GOODS OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US $100) or the amount you paid us, if any, specifically for Site access in the twelve months before the event giving rise to the claim, whichever is greater. Some jurisdictions do not allow certain exclusions or limitations, so those limitations apply only to the maximum extent permitted by law.

16. Indemnity

You will defend, indemnify, and hold harmless J.R.SOSA & CO. and its affiliates, parents, subsidiaries, controlled brands, owners, directors, officers, employees, contractors, agents, licensors, customers, vendors, successors, and assigns from and against any claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your access to or use of the Site, Submissions, violation of these Terms, violation of law, infringement or misappropriation of rights, or dispute with another person or entity.

17. United States Government Rights

Software is a “commercial product,” “commercial service,” “commercial computer software,” and/or “commercial computer software documentation” as those terms are used in applicable procurement law. If you are a U.S. governmental entity or are using Software on behalf of one, use, duplication, reproduction, release, modification, disclosure, or transfer is restricted by these Terms, any applicable license, Federal Acquisition Regulation (FAR) 12.212, and Defense Federal Acquisition Regulation Supplement (DFARS) 227.7202 and related provisions, as applicable. The Software was developed at private expense, and all rights not expressly granted are reserved.

18. Suspension and Termination

We may suspend, restrict, or terminate access to the Site at any time, with or without notice, including if we believe you violated these Terms, created risk, infringed rights, violated law, or interfered with the Site. Sections that by their nature should survive termination will survive, including ownership, license restrictions, Submissions, disclaimers, liability limits, indemnity, governing law, and miscellaneous terms.

19. Governing Law and Forum

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, USA, without regard to conflict-of-law principles. Unless a written agreement with us states otherwise, any action relating to these Terms or the Site must be filed and maintained in a state or federal court located in California, USA, and you consent to personal jurisdiction and venue in those courts.

20. Miscellaneous

These Terms constitute the entire agreement between you and J.R.SOSA & CO. regarding public-site use. Our remedies are cumulative and not exclusive. Failure to enforce any provision is not a waiver. If any provision is found unenforceable, the remaining provisions remain in effect and the unenforceable provision will be enforced to the maximum extent permitted. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, financing, restructuring, sale of assets, operation of law, or similar event.

If you are legally exempt from certain responsibilities, those responsibilities apply only to the maximum extent permitted by law. Nothing in these Terms limits rights or obligations that cannot be limited under applicable law.
